BCSI / Corporate Development
Corporate Development · Buy-side & Sell-side M&A
BCSI advises sellers through a complete lower-middle-market sale process and works with buyers from acquisition strategy and proprietary target origination through diligence, negotiation and close.
Sell-side M&A
BCSI advises owners and management teams selling lower-middle-market businesses, generally companies with more than $5 million of EBITDA. We take responsibility for the entire process while allowing management to remain focused on operating the business.
Our perspective is informed by operating experience, not solely transaction mechanics. We understand that the strongest outcome depends on identifying and communicating what makes the business strategically valuable, preparing it for scrutiny and managing the process without losing sight of customers, employees or day-to-day performance.

| Market | Lower middle market. |
| Typical company profile | More than $5 million of EBITDA. |
| Role | Complete sell-side process leadership through closing. |
| Sector orientation | Advertising, media, publishing, technology, entertainment and related businesses. |
Analyzing the business, framing its strategic value and developing the transaction narrative.
Preparing the financial, commercial and presentation materials required to take the company to market.
Developing and approaching a focused universe of strategic and financial buyers.
Managing information flow, buyer diligence, transaction terms and negotiations through close.
Buy-side M&A
BCSI works as a senior extension of management for companies pursuing acquisitions. We help define what should be acquired, identify and approach targets—including proprietary opportunities—and carry the transaction from initial assessment through closing.
The work begins with strategic fit, not a list of businesses for sale. An operator’s perspective helps distinguish an attractive asset from an acquisition the buyer can credibly integrate, operate and grow.
| Buy-side mandate | BCSI role |
|---|---|
| Acquisition strategy | Translate growth priorities into clear investment criteria, target markets and transaction objectives. |
| Target origination | Map the market, identify strategic and proprietary targets and conduct discreet outreach. |
| Valuation and assessment | Evaluate strategic fit, operating performance, valuation, transaction structure and principal risks. |
| Diligence | Coordinate commercial and financial workstreams and maintain focus on the issues that determine value. |
| Negotiation and closing | Support indications of interest, letters of intent, transaction terms, documentation and execution through close. |

BCSI can also extend the capacity of management to evaluate strategic opportunities, develop partnerships and lead high-priority initiatives that do not fit neatly within a conventional transaction mandate.
Creating commercial relationships, joint ventures and alliances designed to accelerate growth.
Assessing markets and new ventures, then converting the strongest opportunities into an executable plan.
Preparing the strategy, analysis and internal alignment required before a company enters the market.
Hands-on leadership for initiatives that benefit from senior focus and an independent perspective.
Advice grounded in how companies create value and operate—not only in transaction mechanics.
Bernard Urban remains personally involved from initial positioning through negotiation and close.
